Regulations of the Advisory Board of the Afghan Altruistic Humanitarian Organization (AAHO) Foundation

Article 1. Preamble

With the adoption of the Rules of the Advisory Board, the Advisory Board gives substance to the statutory provision that the Foundation knows regulations of the Advisory Board to elaborate on matters that are not appointed in the articles of association. The Supervisory Regulations are secondary to the provisions in the articles of association.

The Rules of the Advisory Board were adopted during the first meeting of the Advisory Board on November 5, 2008 and can be amended by the Advisory Board to a decision to that end.
The Rules of the Advisory Board is included in the Administrative Organization Handbook.

Article 2. Objective and tasks of the Advisory Board

The Advisory Board is responsible for supervising the general course of affairs within the foundation.
Supervision by the Advisory Board includes:

  • Supervision in advance (plans for determination);
  • Supervision of the functioning of the organization;
  • Supervision afterwards (accountability for determination).
  • The Advisory Board assists the statutory management with advice.
  • The Advisory Board acts as an employer for the management.

Article 3. Composition of the Advisory Board

The recruitment, selection and appointment of the members of the Advisory Board work with a profile, which describes the necessary qualities for the vacancy.
The Advisory Board must be compiled on the basis of the expertise required for supervision in order to achieve an optimal contribution, which strives for social diversity.

Article 4. Responsibilities and powers of the Advisory Board

The Advisory Board is without exception in charge of the following tasks:

  1. The determination of the strategic multi -year plan;
  2. The adoption of the annual plan and the associated budget;
  3. The adoption of the annual accounts and the annual report;
  4. The supervision of the management of the organization and the control of the risks.

The Advisory Board performs the supervisory function for the organization including the following tasks:

  1. The development and realization of vision, policy, strategies and (long-term) budget;
  2. The realization of the annual plan and the associated budget;
  3. The allocation of resources to the objective in accordance with the set criteria and procedures;
  4. Fundraising in general and the practice of fundraising.

The Advisory Board has the right and the duty to request the necessary information from the management. Sofar as not stipulated in the articles of association, the provision of information from the management to the Advisory Board is further described in the management regulations.

In appropriate cases, the Advisory Board represents the organization and promotes contacts for the benefit of the network. In particular, this applies to the relationship with the board of Ahao
The members of the Advisory Board contribute from their specific knowledge, background and networks to the achievement of the objectives of the foundation.

The Advisory Board decides on the appointment of the external auditor and evaluates the functioning of the auditor at least once every four years. The external auditor at least attends the meeting in which the annual statement is determined.

Article 5. Method

  • The Advisory Board meets at least four times a year.
  • The Advisory Board can rely on the secretariat of the foundation for administrative and secretarial support.
  • The Advisory Board may decide to install permanent or temporary committees that fulfill a defined assignment and issue advice to the Advisory Board. The mandate, the composition, and working methods of the committees are determined by the Advisory Board.
  • The Advisory Board sets an audit committee in any case.

Article 6. Reporting and accountability

The Advisory Board annually accounts for the public supervision in “the report of the Advisory Board”, or. The accountability statement, which is included in the Foundation’s annual report.

Article 7. Evaluation of the functioning of the Advisory Board

An annual (self) evaluation is performed on the functioning of the Advisory Board.
The main conclusions of the (self) evaluation are noted.

Article 8. Final determination

In all cases not provided for in the articles of association or the Rules of the Advisory Board, the Advisory Board decides.
